TERMS & CONDITIONS

These Terms and Conditions (“Terms”) govern your use of the website of Plenary Education, our School Management System, learning portals, mobile applications, and any other services or features provided by us (collectively referred to as the “Platform”).

By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree, you should not use our Platform.

Effective Date: 23 November 2025

1. Definitions

In these Terms, unless the context otherwise requires:

“We”, “Us”, “Our” refer to Plenary Education.
“You”, “User” refer to any individual or entity accessing or using our Platform, including school administrators, staff, students, parents, and visitors.
“School Management System” means our software solution used by schools and coaching institutions to manage academic, administrative, and financial operations.
“Services” include all features, tools, content, and support provided through our Platform.

2. Acceptance & Eligibility

By using our Platform, you confirm that:

You are at least 18 years old, or using the Platform under the supervision of a parent, guardian, or authorised school representative.
You have the authority to enter into a binding agreement on behalf of yourself or the institution you represent.
All information shared by you during registration or use of the Platform is true, accurate, and complete.

3. Scope of Services

Plenary Education provides:

School Management System for schools and coaching centres.
Student information, attendance, fee management, and academic record tools.
Dashboards and portals for administrators, teachers, students, and parents.
Training, workshops, and educational courses (online/offline).
Customer support and implementation assistance as agreed with institutions.

                        We reserve the right to add, modify, or discontinue any feature or service, temporarily or
                        permanently, with or without prior notice.
                    

4. Account Registration & Security

Some parts of the Platform may require you or your institution to create an account.

You are responsible for maintaining the confidentiality of your login credentials.
You agree to notify us immediately of any unauthorised use of your account.
We are not liable for any loss or damage arising from failure to protect your account credentials.

5. School & User Data

Schools may upload student, staff, and institutional data to our Platform.

You confirm that you have the right and necessary consent to share such data with us.
You are responsible for the accuracy, legality, and completeness of the data shared.
Our use of personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

6. Payments, Fees & Refunds

For paid services (such as School Management System subscriptions, training, or courses):

Fees, billing cycles, and payment terms will be communicated at the time of subscription or enrolment.
Payments must be made through the approved methods shared by Plenary Education.
Access may be suspended or terminated for non-payment within the specified due date.
Refunds, if applicable, will be governed by our separate Refund / Cancellation Policy or by specific written agreements with the institution.

7. Acceptable Use Policy

You agree not to use the Platform:

For any unlawful, harmful, or fraudulent purpose.
To upload, share, or transmit content that is abusive, defamatory, obscene, or infringes any third-party rights.
To attempt to gain unauthorised access to our systems, servers, or networks.
To interfere with the proper working of the Platform (e.g., introducing viruses, bots, or malicious code).

                        We reserve the right to restrict or terminate access if we believe a user or institution has
                        violated these Terms or applicable law.
                    

8. Intellectual Property

All content, software, logos, branding, designs, graphics, text, and other materials available on the Platform are the intellectual property of Plenary Education or its licensors.

You are granted a limited, non-exclusive, non-transferable licence to use the Platform for authorised purposes only.
You may not copy, reproduce, modify, distribute, or create derivative works without our prior written consent.
Any feedback or suggestions you provide may be used by us without obligation to compensate you.

9. Third-Party Services & Links

Our Platform may integrate with or contain links to third-party websites, tools, or services (such as payment gateways, messaging providers, etc.).

We do not control third-party platforms and are not responsible for their content, policies, or practices.
Your use of such third-party services is subject to their separate terms and policies.

10. Communications & Notifications

By using our Platform, you agree that we may send you important updates, alerts, and notifications via:

Email, SMS, WhatsApp, or in-app messages, using the contact details shared by you or your institution.
Service-related announcements, including maintenance, updates, or changes to these Terms.

11. Disclaimers

While we strive to keep our Platform available and accurate:

The Platform is provided on an “as is” and “as available” basis.
We do not guarantee uninterrupted, timely, or error-free operation of the Platform.
We are not responsible for any loss of data caused by factors beyond our reasonable control, such as internet failures, system crashes, or force majeure events.

12. Limitation of Liability

To the maximum extent permitted by law:

We shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or goodwill.
Our total aggregate liability for any claims arising out of or related to your use of the Platform shall be limited to the amount paid by you (or your institution) to us for the service during the last 3 months preceding the claim, if any.

13. Indemnity

You agree to indemnify, defend, and hold harmless Plenary Education, its trustees, employees, and partners from and against any claims, damages, losses, liabilities, and expenses arising out of:

Your use of the Platform.
Your violation of these Terms.
Any data or content uploaded or submitted by you or under your account.

14. Termination & Suspension

We may suspend or terminate access to the Platform, in whole or in part, if:

You or your institution breach these Terms or applicable law.
There is suspected misuse, fraud, or security risk.
Our agreement or engagement with your institution comes to an end.

Upon termination, your right to use the Platform will cease immediately. Certain obligations, including those relating to intellectual property, limitation of liability, and indemnity, shall survive termination.

15. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in West Bengal, India.

16. Changes to These Terms

We may update or modify these Terms from time to time. When we do, we will update the “Effective Date” mentioned above and may notify you through appropriate channels.

Your continued use of the Platform after any changes signifies your acceptance of the revised Terms.
